1. Acceptance of Terms

Welcome to AURA. These Terms of Service ("Terms") constitute a legally binding agreement between you and AURA Technologies ("AURA," "we," "us," or "our") governing your access to and use of the AURA mobile application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use our Service. If you are under 18 years old (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian to use the Service.

By using the Service, you represent and warrant that:

3. Account Registration and Security

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that we deem inappropriate or harmful to the Service or other users.

You may delete your account at any time through the app settings. Upon account deletion, your personal data will be removed in accordance with our Privacy Policy.

4. Use of the Service

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

4.2 Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use any automated system (bots, scrapers, etc.) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove, alter, or obscure any proprietary notices from the Service
• Use the Service to harass, abuse, or harm another person
• Transmit any viruses, malware, or other malicious code
• Collect or harvest any information about other users
• Use the Service for commercial purposes without our prior written consent

4.3 Content Guidelines

While using the Service, you agree not to share or create content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
• Infringes on intellectual property rights or other proprietary rights
• Contains hate speech, discrimination, or promotes violence
• Is sexually explicit or pornographic
• Promotes self-harm or suicide
• Contains false or misleading information

5. Subscriptions and Payments

5.1 Subscription Plans

AURA offers both free and premium subscription plans. Premium features require a paid subscription. Subscription details, including pricing and features, are available in the app.

5.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

You authorize us (through our payment processor, Stripe) to charge your payment method for all fees incurred in connection with your subscription.

5.3 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect your current subscription period but will apply to subsequent renewal periods. We will notify you of price changes at least 30 days before they take effect.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through the app settings or your device's subscription management settings (App Store or Google Play). Cancellation will take effect at the end of your current billing period, and you will retain access to premium features until that time.

We do not provide refunds for partial subscription periods. If you cancel your subscription, you will not receive a prorated refund for the remaining time in your billing period.

5.5 Free Trials

We may offer free trial periods for premium subscriptions. If you do not cancel before the end of the trial period, you will be automatically charged for a subscription at the then-current price.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by AURA Technologies and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

6.2 Your Content

You retain ownership of any content you create or submit through the Service, including mood entries, journal notes, and messages to our AI companion ("Your Content").

By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing and improving the Service. This includes using Your Content to train and improve our AI algorithms (in anonymized and aggregated form only).

You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not violate these Terms or any applicable laws.

7. Medical Disclaimer

By using AURA, you acknowledge and agree that:

• You understand the limitations of the Service as described above
• You will seek professional help for serious mental health concerns
• You will not rely on AURA for emergency mental health situations
• AURA Technologies is not liable for any harm resulting from your use of the Service

8. Disclaimers and Limitations of Liability

8.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without notice.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURA TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
• Any conduct or content of any third party on the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8.3 Indemnification

You agree to indemnify, defend, and hold harmless AURA Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

9. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by AURA Technologies. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that AURA Technologies shall not be responsible or liable for any damage or loss caused by or in connection with your use of any third-party services.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AURA Technologies is registered, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

You and AURA Technologies agree that any arbitration shall be conducted on an individual basis and not as a class action or representative action. You and AURA Technologies expressly waive any right to bring or participate in a class action lawsuit or class-wide arbitration.

11.3 Exceptions

Notwithstanding the arbitration provision above, either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Service or infringement of intellectual property rights without first engaging in arbitration.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AURA Technologies regarding the Service and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
